Affiliate Agreement

Effective date: January 1, 2026

1. Agreement Overview

This Affiliate Agreement (“Agreement”) governs the relationship between the operator of the OpsGrade at yourdomain.com (“Company,” “we,” “us”) and you (“Affiliate”) upon your acceptance into the affiliate program. By applying to and participating in the affiliate program, you agree to be bound by this Agreement.

2. Commission Structure

As an Affiliate, you will earn a 30% recurring commission on all qualifying payments made by customers you refer, for as long as that customer remains a paying customer.

Commissions are calculated on the net amount received after payment processing fees. Commissions on chargebacks or refunded transactions are reversed.

3. Attribution & Cookie Window

When a visitor clicks your referral link, a 60-day attribution cookie is set in their browser. If that visitor makes a purchase within 60 days of clicking your link, the sale is credited to your account. The cookie is last-click attributed — if the customer clicks another affiliate’s link after yours, that affiliate receives credit.

4. Payment Schedule

Commission payouts are processed monthly on the 15th of each month via Stripe for the prior month’s confirmed commissions. Payouts are issued only when your account balance reaches a minimum threshold of $50. Balances below $50 roll over to the following month.

Commissions enter a 30-day holding period before becoming eligible for payout to account for refund windows. Commissions from customers who request a refund within 7 days are reversed before payout.

You are responsible for providing accurate payment details. We are not responsible for failed payouts due to incorrect account information.

5. Permitted Promotion Methods

You may promote the Service through:

  • Your own website, blog, or newsletter
  • Organic social media posts (with required FTC disclosure — see Section 7)
  • YouTube videos, podcasts, or other content platforms
  • Direct outreach to your personal network
  • Email marketing to your opted-in subscriber list

6. Prohibited Promotion Methods

The following are strictly prohibited and will result in immediate termination and forfeiture of unpaid commissions:

  • Spam: Sending unsolicited emails or messages to people who have not opted in to receive communications from you
  • Misleading claims: Making false or unverified claims about the product, its results, or its capabilities
  • Brand PPC: Running paid search ads (Google Ads, Bing Ads, etc.) that bid on our brand name or domain as keywords
  • Cookie stuffing: Any technique that artificially triggers affiliate cookie attribution without a genuine click
  • Impersonation: Representing yourself as an employee or official representative of the Company
  • Coupon or cashback sites: Listing our products on coupon aggregator or cashback sites without prior written approval

7. FTC Disclosure Requirement

Federal Trade Commission (FTC) guidelines require that you clearly and conspicuously disclose your affiliate relationship whenever you promote this Service. This disclosure must appear before any affiliate link in your content — not hidden in footnotes or buried in fine print.

Acceptable disclosure language:

“Disclosure: This post contains affiliate links. If you purchase through my link, I earn a commission at no extra cost to you.”

Failure to include proper FTC disclosures may result in suspension of your affiliate account pending correction.

8. Relationship of the Parties

You are an independent contractor, not an employee, agent, or partner of the Company. You have no authority to enter into contracts or obligations on behalf of the Company. You are solely responsible for all taxes on your affiliate commissions.

9. Intellectual Property License

We grant you a non-exclusive, revocable license to use the Company’s name, logo, and approved marketing materials solely for the purpose of promoting the Service under this Agreement. You may not modify the logo or create new branding that implies an official relationship beyond that of an affiliate.

10. Termination

Either party may terminate this Agreement at any time with or without cause. You may terminate by ceasing to use your referral link and notifying us at affiliates@yourdomain.com. We may terminate your account immediately if you violate any terms of this Agreement, particularly the prohibited methods in Section 6.

Upon termination, any earned commissions that have cleared the 30-day holding period and meet the $50 minimum threshold will be paid on the next scheduled payout date. Commissions that have not cleared the holding period are forfeited if termination is due to a violation of this Agreement.

11. Modifications

We reserve the right to modify commission rates or terms of this Agreement with 30 days’ written notice. Continued participation in the affiliate program after the notice period constitutes acceptance of the revised terms. Changes will never apply retroactively to commissions already earned.

12. Governing Law

This Agreement is governed by the laws of the State of Texas, United States. Disputes shall be resolved in the courts of Texas.
